On July 30th 2002, Congress passed the Sarbanes Oxley Act, the most sweeping legislation in the securities industry since the 1930’s. One of the little noticed provisions of Sarbanes Oxley was that it mandated corporate insiders to register with the SEC whenever they buy, sell or register an intention to sell the securities in which they maintain a control position (i.e. officer, director, or 10% owner) within 48 hours of trade date.
